Thalos Capital Corporation (“Thalos Capital”) is a privately held Canadian private equity firm incorporated under the laws of the Province of Ontario, with its principal office located in Burlington, Ontario.

The core business of Thalos Capital is the direct acquisition and long-term transformation of small and mid-sized businesses. The firm focuses on control equity investments, operational optimization, and the deployment of technology-enabled systems to scale, improve margins, and create durable enterprise value.

Thalos Capital acquires businesses across sectors including technology, industrials, services, and real assets. In addition to its principal investment activities, Thalos Capital may provide non-core strategic advisory services, such as transaction support, business development introductions, and co-investment planning—on a case-by-case basis and without engaging in registrable securities activities.

Thalos Capital operates independently and is not affiliated with any similarly named entity.

2. Regulatory Status

Thalos Capital is not registered as a broker, dealer, exempt market dealer, investment advisor, or financial intermediary under the laws or regulations of:

  • Canada, including the Ontario Securities Commission (OSC) or any other provincial securities commission;

  • The United States, including the Securities and Exchange Commission (SEC), any U.S. state securities agency, or the Financial Industry Regulatory Authority (FINRA);

  • The United Kingdom, under the Financial Services and Markets Act 2000 (FSMA) or with the Financial Conduct Authority (FCA);

  • Any member state of the European Union, under the Markets in Financial Instruments Directive II (MiFID II) or equivalent legislation;

  • The Autorité des marchés financiers (Québec);

  • Any other global securities, capital markets, or financial regulatory authority.

Thalos Capital does not engage in conduct requiring registration under applicable securities legislation in any jurisdiction.

3. Scope of Services

Thalos Capital’s core focus is on principal investment activities, including:

  • Direct acquisition of private businesses through control equity transactions;

  • Post-acquisition transformation through operational improvements and AI-enabled optimization;

  • Value creation strategies including rollups, platform expansion, and vertical integration.

In addition to its core investment activities, Thalos Capital may also offer non-registrable services such as:

  • Strategic planning, diligence support, and exit readiness consulting;

  • Business development introductions for capital relationships or operating synergies;

  • Co-investment coordination via affiliated vehicles (where applicable).

These activities are conducted exclusively in a non-brokered, non-promotional capacity, and do not involve the public offering, recommendation, or solicitation of securities. Any transaction involving capital participation is conducted through a duly registered intermediary (e.g., Exempt Market Dealer in Canada or Broker-Dealer in the United States) or in compliance with applicable prospectus exemptions.

3.1 Use of SPVs and Affiliated Investment Vehicles

From time to time, Thalos Capital may raise capital to finance specific acquisitions or growth initiatives through special purpose vehicles (SPVs), limited partnerships (LPs), or other affiliated entities (collectively, “investment vehicles”). These are formed for the sole purpose of acquiring, owning, and operating businesses under the Thalos Capital platform.

Thalos Capital may act as general partner, sponsor, or managing entity for such vehicles, and may retain the services of registered intermediaries—such as an Exempt Market Dealer (EMD) in Canada or a Broker-Dealer (BD) in the United States—to facilitate capital raising under applicable securities laws.

Thalos Capital does not offer or distribute securities directly to the public, and does not accept investor funds outside of registered or exempt frameworks. All investor participation is conducted under valid exemptions and in full compliance with governing regulations.
